1. Introduction and Definitions

This Service Provider Agreement ("Agreement") governs your use of the Requesta platform ("Platform") as a verified service provider ("Service Provider"). The Platform is operated by Requesta Mobile Services (Pty) Ltd ("Requesta", "we", "us", or "our"), registration number 2023/123456/07.

Key Definitions:

• "Client" means any individual or entity using the Requesta Client App to request services.
• "Services" refers to the professional offerings you provide through the Platform.
• "Tokens" Requesta Token: “Requesta Prepaid Service Token" or "Utility Token" or "Digital Service Credit", means a non-monetary, non-refundable digital unit purchased by the user for the sole purpose of requesting services within the Requesta platform to cover expenses of the platform. It is not redeemable for cash and carries no value outside of Requesta's service ecosystem.

2. Eligibility and Registration

2.1 Eligibility Requirements: To qualify as a Service Provider, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Possess all necessary licenses, certifications, or qualifications for your Services
• Maintain an active Client account in good standing
• Pass Requesta's verification process

2.2 Verification Process: You agree to provide:

• Government-issued identification
• Proof of professional qualifications (where applicable)
• Evidence of industry participation
• Any other documentation reasonably requested by Requesta

3. Platform Usage and Conduct

3.1 License Grant: Requesta grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform solely for connecting with Clients and providing Services.

3.2 Service Provider Obligations: You covenant and agree to:

• Maintain complete, current, and accurate profile information
• Respond to service requests promptly and professionally
• Provide Services with reasonable skill and care
• Comply with all applicable laws and regulations
• Maintain appropriate insurance coverage where required

3.3 Prohibited Conduct: You shall not:

• Misrepresent your qualifications, experience, or identity
• Offer illegal, dangerous, or prohibited services
• Circumvent the Platform's payment systems
• Engage in fraudulent, deceptive, or unethical practices
• Violate any third-party rights

4. Account Suspension and Termination

4.1 Grounds for Suspension: Requesta may immediately suspend or terminate your account for:

• Violation of this Agreement
• Fraudulent or illegal activity
• Material misrepresentation
• Abusive behavior toward Clients or Requesta
• Repeated poor ratings or substantiated complaints

4.2 Cross-Platform Suspension: Suspension as a Service Provider results in simultaneous suspension of all Platform access, including Client functionality.

4.3 Token Forfeiture: Upon suspension or termination:

• All tokens in your account are immediately forfeited
• No refunds or transfers will be processed
• Forfeited tokens become Requesta's property

5. Service Provision and Client Relationships

5.1 Independent Contractor Status: You acknowledge that you operate as an independent contractor, not as an employee, agent, or representative of Requesta.

5.2 Service Agreements: The Platform facilitates connections but does not create an employment relationship between Requesta and Service Providers.

5.3 Client Interactions: You agree to:

• Communicate professionally with all Clients
• Honor agreed-upon service terms
• Resolve disputes in good faith
• Provide accurate service descriptions and pricing

6. Dispute Resolution

6.1 Platform Neutrality: Requesta provides connection services only and is not a party to service agreements between Users.

6.2 Requesta's Limited Role: We may, but are not obligated to:

• Suspend accounts during dispute investigations
• Remove fraudulent or defamatory content
• Provide information when legally compelled

6.3 Legal Recourse: For unresolved disputes, you agree to pursue resolution through:

• Direct negotiation with the Client
• Formal mediation or arbitration
• Appropriate legal channels in the relevant jurisdiction

7. Intellectual Property

7.1 Platform IP: All Platform content, designs, trademarks, and technology remain Requesta's exclusive property.

7.2 Your Content: You retain ownership of content you upload but grant Requesta a worldwide license to use, display, and distribute it for Platform operations.

7.3 Third-Party Materials: Certain visual elements are used under license from Freepik (www.freepik.com).

8. Tokens and Payments

8.1 Token System: The Platform uses a token-based system where:

• Tokens are purchased in predefined batches
• Minimum purchase of 6 tokens is required
• 2 complimentary tokens are provided at registration

8.2 Token Terms: Tokens are:

• Non-refundable
• Non-transferable
• Valid indefinitely
• Subject to forfeiture upon account termination

9. Limitation of Liability

To the maximum extent permitted by law, Requesta shall not be liable for:

• Any direct, indirect, incidental, or consequential damages
• Loss of income, data, or business opportunities
• Client misconduct or service quality issues
• Platform interruptions or technical failures

10. General Provisions

10.1 Governing Law: This Agreement shall be governed by South African law.

10.2 Amendments: Requesta may modify these terms with notice. Continued use constitutes acceptance.

10.3 Severability: If any provision is invalid, the remainder remains enforceable.
